How to Register a Limited Company in the UK from Overseas

You do not need to live in the UK, hold a UK passport, or even visit the country to register a limited company in the UK. Thousands of overseas founders do exactly this every year. What matters is getting a small number of specific steps right, since the process looks different from abroad than it does for a UK-based founder.

No residency requirement

There is no rule requiring directors or shareholders of a UK limited company to be UK residents. You can be based anywhere in the world and hold every director and shareholder position in a UK company. This is one of the reasons the UK remains a popular jurisdiction for international founders, freelancers and holding structures. What you cannot avoid, wherever you are based, is the requirement for a UK registered office and, since recent reforms, identity verification.

Identity verification under ECCTA

The Economic Crime and Corporate Transparency Act 2023 (ECCTA) introduced mandatory identity verification for directors and Persons with Significant Control (PSCs). From 18 November 2025, new directors must complete identity verification before their company can be incorporated, and existing directors and PSCs have a 12-month transition period to verify. For overseas founders this step needs a little more planning than it might for someone in the UK, since you will need to provide acceptable identity documents and, in some cases, verify through an authorised agent rather than in person at a UK office.

Why the registered office address matters

Every UK company needs a registered office - a physical UK address where Companies House, HMRC and other official bodies can send documents, and where those documents will actually be received and acknowledged. Since March 2024, an "appropriate address" rule has applied, so a PO Box on its own is not acceptable.

It is the address the whole administrative relationship with the UK runs through: statutory mail, tax correspondence, and legal notices all go there first.
